Looks good, though I know nothing of the heatsink, but it should be fine unless you want to do some super OCing.
I hope you're gettign 2 sets of that RAM, because 4GB isnt enough these days, and if so, i'd switch to http://www.amazon.com/G-SKILL-Ripjaws-1600MHz-PC3-12800-F3-12800CL9D-8GBXL/dp/B004HZG4ZO/ref=sr_1_4?s=electronics&ie=UTF8&qid=1317082170&sr=1-4 because its slightly cheaper and gives you room to expand your memory at a later date.
